License

AI Power Tools for Sparx EA is free. You use it under NovoCircle's end user license agreement. It is not open source. This page summarizes the agreement in plain language and then reproduces the full text. If the summary and the agreement differ, the agreement governs.

The agreement is also published at https://novocircle.com/ai-power-tools/sparx-ea/license/ and ships as the LICENSE file inside both the Claude Desktop extension and the VS Code extension.

Summary

  • Free. There is no payment, license key, activation, registration, trial or subscription, and the software performs no license check.
  • What you may do. Install and use it for your own internal business or personal purposes, on any number of machines you own or control, including virtual and shared machines your own personnel use. If you install it for an organization, the license covers that organization's employees and contractors acting on its behalf.
  • What you may not do. Redistribute, publish, sell, rent, lease or lend it, or run it as a service for anyone but yourself. Sublicense it or assign the agreement. Modify it or create derivative works. Reverse engineer it, except where the law expressly allows that. Remove its copyright, trademark or other proprietary notices.
  • Enterprise Architect is licensed separately. Sparx Systems licenses Enterprise Architect, and you must hold a valid license for it. The agreement grants no rights in Sparx Systems software.
  • Your content is yours. You own the models, diagrams, documents and files you create or change with the software. NovoCircle claims no rights in them.
  • The assistant is yours. The software acts on instructions from the AI assistant you choose, configure and run. You are responsible for reviewing what the assistant changes through the software before you rely on it.
  • As is, with capped liability. There is no warranty. NovoCircle is not liable for indirect or consequential damages, and its total liability is capped at USD $50.00.
  • Keep backups. The software can create, modify and delete content in your Enterprise Architect repository, and you are solely responsible for backups. A baseline taken inside the repository is not a backup. See Baselines.
  • No support obligation. NovoCircle may provide updates or support but does not have to, and may stop distributing the software. NovoCircle may revoke the license by notice through its distribution channel, and the license ends automatically if you breach a term.
  • Data. The software sends no usage data to NovoCircle. It checks once a day for a newer release, which discloses your network address to the host that answers. See Security and data handling.
  • Governing law. The laws of the State of Wyoming.

This software is provided free of charge. By installing or using it you agree
to these terms. If you do not agree, do not install or use it.

1. WHO "YOU" ARE

"NovoCircle" means SFI Ventures, LLC, doing business as NovoCircle. "You"
means the person installing or using the software. If you install or use the
software on behalf of an organization, "you" means that organization, and this
license covers its employees and contractors acting on its behalf.

2. LICENSE GRANT

NovoCircle grants you a no-fee, non-exclusive, non-transferable, revocable,
worldwide license to install and use the software for your own internal
business or personal purposes, on any number of machines you own or control,
including virtual and shared machines used by your own personnel.

No payment, license key, activation, registration or subscription is required.
The software performs no license check and contacts no licensing service.

3. RESTRICTIONS

You may not:

  (a) redistribute, publish, sell, rent, lease or lend the software, or make
      it available to any third party, or operate it as a service for anyone
      other than yourself;
  (b) sublicense the software or assign this agreement;
  (c) modify the software or create derivative works from it;
  (d) reverse engineer, decompile or disassemble the software, or attempt to
      derive its source code, except to the extent applicable law expressly
      prohibits this restriction;
  (e) remove, obscure or alter any copyright, trademark or other proprietary
      notice.

4. OWNERSHIP; YOUR CONTENT

The software is licensed, not sold. NovoCircle retains all right, title and
interest in the software, including all intellectual property rights. This
agreement grants you no rights other than the license in Section 2.

You own the models, diagrams, documents, files and other content you create or
modify using the software. NovoCircle claims no rights in that content.

5. AI-GENERATED CHANGES

The software acts on instructions from an AI assistant that you choose,
configure and run. NovoCircle does not provide, control or warrant that
assistant or its output; the assistant's own terms govern it. You are
responsible for reviewing the changes the assistant makes through the software
before relying on them.

6. THIRD-PARTY SOFTWARE AND SERVICES

The software drives Sparx Systems Enterprise Architect, which is licensed
separately by Sparx Systems Pty Ltd. and is not provided under this agreement.
You are responsible for holding a valid Enterprise Architect license. Nothing
here grants any right in Sparx Systems software. Sparx Systems and Enterprise
Architect are trademarks of Sparx Systems Pty Ltd. NovoCircle is not affiliated
with Sparx Systems.

The software includes open-source components. Their licenses and notices are
in the THIRD-PARTY-NOTICES.txt file distributed with the software. Those
licenses govern those components.

7. DATA

The software does not collect or transmit usage data to NovoCircle. Once a day
the software may check a public address (GitHub or novocircle.com) for a newer
release; that request discloses your network address to the host of that
address and nothing else, and where the software offers a setting to disable
the check you may turn it off. Diagnostic reports, if you enable them, are
written to your own machine and reach NovoCircle only if you choose to send
them.

8. NO SUPPORT OBLIGATION; UPDATES

NovoCircle may, but is not obliged to, provide updates or support. Updates are
governed by the agreement distributed with them, which may differ from this
one. NovoCircle may stop distributing or supporting the software at any time.

9. YOUR RESPONSIBILITY; INDEMNITY

You are responsible for your use of the software, for the instructions you
and your AI assistant give it, for the content it creates, changes or deletes
on your instruction, and for complying with the laws and third-party rights
that apply to that use. You will defend, indemnify and hold NovoCircle
harmless from any third-party claim, loss or expense (including reasonable
attorneys' fees) arising from your use of the software or your content.

10. NO WARRANTY

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY
KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF
MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.
NOVOCIRCLE DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED OR
ERROR-FREE, OR THAT IT WILL NOT ALTER OR DAMAGE YOUR MODELS OR DATA.

THE SOFTWARE CAN CREATE, MODIFY AND DELETE CONTENT IN YOUR ENTERPRISE
ARCHITECT REPOSITORY. YOU ARE SOLELY RESPONSIBLE FOR MAINTAINING BACKUPS.

11. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NOVOCIRCLE SHALL NOT BE
LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR
PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, MODELS OR
BUSINESS, ARISING OUT OF OR RELATED TO THE SOFTWARE OR THIS AGREEMENT, UNDER
ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

BECAUSE THE SOFTWARE IS PROVIDED WITHOUT CHARGE, NOVOCIRCLE'S TOTAL AGGREGATE
LIABILITY ARISING OUT OF OR RELATED TO THE SOFTWARE SHALL NOT EXCEED
FIFTY U.S. DOLLARS (USD $50.00).

Some jurisdictions do not allow the exclusion of implied warranties or the
limitation of liability for incidental or consequential damages, so some of
the above may not apply to you.

12. TERM AND TERMINATION

This agreement takes effect when you first install or use the software and
continues until terminated. It terminates automatically if you breach any
term. NovoCircle may also revoke this license at any time, with or without
cause, by providing notice through the product's distribution channel. On
termination you must stop using the software and delete all copies.

Sections 4, 5, 9, 10, 11 and 13 survive termination.

13. GENERAL

This agreement is governed by the laws of the State of Wyoming, without regard
to its conflict-of-laws rules. This agreement is the entire agreement between
you and NovoCircle concerning the software and supersedes any prior agreement
relating to it. If any provision is held unenforceable, the remaining
provisions remain in full force. NovoCircle's failure to enforce any right is
not a waiver of it. You will comply with applicable export control laws in
using the software.
